1. Acceptance of these Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between CTI Global (“CTI Global,” “LifeHealth,” “we,” “our,” or “us”) and each individual or entity (“User,” “you,” or “your”) accessing or using the LifeHealth Platform.
By creating an account, accessing, browsing, or using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional policies referenced herein.
If you do not agree to these Terms, you must immediately discontinue use of the Platform.

3. Definitions
For purposes of these Terms:
Platform means all LifeHealth websites, mobile applications, patient portals, clinician portals, APIs, software, communications services, and related digital services.
Healthcare Provider means any licensed physician, specialist, pharmacist, laboratory, clinic, hospital, psychologist, therapist, nurse, or other healthcare professional using the Platform.
User includes patients, caregivers, healthcare providers, administrators, and any person accessing the Platform.
Content includes all information, documents, images, medical records, communications, software, graphics, text, audio, video, and data available through the Platform.
4. Nature of the Platform
LifeHealth is a technology platform designed to facilitate healthcare delivery.
Unless expressly agreed otherwise in writing, CTI Global:
- does not practice medicine;
- does not employ treating clinicians solely by operating the Platform;
- does not provide medical advice;
- does not diagnose illnesses;
- does not prescribe medication;
- does not guarantee treatment outcomes;
- does not replace your healthcare provider.
All clinical decisions remain solely the responsibility of the treating Healthcare Provider.
Nothing in these Terms creates a physician-patient relationship between CTI Global and any User.
5. Eligibility
You represent and warrant that:
- you are at least eighteen (18) years of age, or otherwise have legal capacity under applicable law;
- any information you provide is accurate and complete;
- you will keep your account information current;
- you are legally entitled to use the Platform.
Parents or legal guardians may establish dependent accounts where permitted by applicable law.
6. User Accounts
You are responsible for maintaining the confidentiality of your login credentials.
You agree to:
- create only one account unless otherwise authorized;
- maintain accurate information;
- promptly notify CTI Global of unauthorized access;
- use strong passwords;
- safeguard authentication credentials.
You are responsible for all activities occurring under your account unless resulting from CTI Global’s negligence or willful misconduct.
7. Healthcare Services
Healthcare services available through the Platform are provided solely by independent Healthcare Providers.
CTI Global does not supervise or control:
- diagnoses;
- treatment recommendations;
- prescriptions;
- referrals;
- clinical decisions;
- medical record content.
Healthcare Providers remain independently responsible for complying with all professional licensing, regulatory, ethical, and legal obligations applicable to their practice.
8. Patient-Controlled Health Records
LifeHealth is designed to give patients meaningful control over access to their health information.
Except where otherwise required or expressly permitted by applicable law, no Healthcare Provider, health worker, healthcare institution, or other authorized user may access a patient’s health records through the Platform unless the patient or the patient’s legally authorized representative has explicitly granted access using the Platform or another authenticated authorization method approved by CTI Global.
Patients may review, modify, or revoke access permissions at any time.
Revocation does not invalidate access lawfully granted before revocation became effective.
Emergency access, mandatory legal disclosures, and other exceptions permitted by applicable law remain unaffected.
9. Acceptable Use
You agree not to:
- violate any law;
- impersonate another person;
- upload malicious software;
- interfere with Platform security;
- access another person’s account without authorization;
- attempt unauthorized access to systems or data;
- use automated scraping tools without written authorization;
- upload unlawful, defamatory, fraudulent, or infringing material;
- interfere with another User’s use of the Platform.
CTI Global reserves the right to suspend or terminate accounts engaging in prohibited activities.
10. User Content
You retain ownership of information that you submit to the Platform.
By submitting content, you grant CTI Global a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, store, back up, and display such content solely as necessary to operate, secure, maintain, and improve the Platform and to provide requested services.
This license terminates when the content is lawfully deleted from our systems, subject to applicable record retention obligations.
You represent that you have all rights necessary to upload the content and that doing so does not infringe the rights of any third party.
11. Privacy
Your use of the Platform is subject to the CTI Global Privacy Policy.
Where applicable, Personal Information and Protected Health Information are processed in accordance with applicable privacy legislation, including the GDPR, HIPAA, and other applicable healthcare privacy laws.
12. Consent to Electronic Communications
You consent to receive electronic communications relating to your account and use of the Platform, including appointment reminders, account notifications, security alerts, billing notices, and other service-related communications.
Where required by applicable law, marketing communications will only be sent with your consent.
13. Fees and Payments
Certain services may require payment.
Applicable fees will be disclosed before purchase.
Payments are processed through independent payment service providers.
Unless otherwise required by law:
- fees are quoted in the applicable currency;
- completed consultations are non-refundable except as required by law or our refund policy;
- taxes may apply.
CTI Global reserves the right to modify pricing upon reasonable notice.
14. Intellectual Property
The Platform, including its software, design, logos, trademarks, graphics, databases, interfaces, documentation, and underlying technology, is owned by or licensed to CTI Global and is protected by applicable intellectual property laws.
Except as expressly permitted, no part of the Platform may be copied, reproduced, modified, reverse engineered, distributed, sold, sublicensed, or otherwise exploited without CTI Global’s prior written consent.
15. Availability of Services
CTI Global will use commercially reasonable efforts to maintain Platform availability but does not guarantee uninterrupted or error-free operation.
Services may be suspended for:
- scheduled maintenance;
- emergency maintenance;
- security incidents;
- infrastructure upgrades;
- legal or regulatory compliance;
- force majeure events.
16. Third-Party Services
The Platform may integrate with third-party services including payment providers, laboratories, pharmacies, electronic prescribing systems, video conferencing providers, cloud hosting providers, identity verification services, and mapping services.
CTI Global is not responsible for the availability, content, or privacy practices of independent third-party services.
Use of such services may be subject to separate terms.
17. Disclaimers
The Platform is provided on an “as available” and “as is” basis.
To the fullest extent permitted by applicable law, CTI Global disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, availability, and uninterrupted operation.
CTI Global does not warrant that the Platform will be free from errors, interruptions, viruses, or security vulnerabilities.
18. Limitation of Liability
To the fullest extent permitted by law, CTI Global, its directors, officers, employees, affiliates, licensors, contractors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, goodwill, business opportunities, or data, arising out of or relating to the use of the Platform.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, willful misconduct, or death or personal injury caused by negligence where such exclusion is prohibited.
19. Indemnification
You agree to indemnify, defend, and hold harmless CTI Global, its affiliates, directors, officers, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- your breach of these Terms;
- your misuse of the Platform;
- your violation of applicable law;
- your infringement of any third-party rights.
20. Suspension and Termination
CTI Global may suspend or terminate your access immediately where reasonably necessary to:
- protect Platform security;
- investigate suspected fraud;
- comply with legal obligations;
- prevent harm to other users;
- address material breaches of these Terms.
Users may close their accounts at any time, subject to applicable legal and healthcare record retention requirements.
21. Force Majeure
CTI Global shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including natural disasters, pandemics, cyberattacks, labor disputes, failures of telecommunications networks, governmental actions, or failures of third-party infrastructure providers.
22. Governing Law and Dispute Resolution
These Terms shall be governed by the laws applicable in the jurisdiction where the relevant services are provided or where mandatory consumer protection laws require.
Where mandatory law does not prescribe a different forum, disputes arising out of or relating to these Terms shall be resolved by the state or federal courts located in New York, United States, and each party irrevocably submits to the jurisdiction of those courts.
Nothing in this section limits a user’s non-waivable rights under applicable consumer protection or data protection laws.
23. Changes to these Terms
CTI Global may amend these Terms from time to time to reflect changes in law, technology, services, or business operations.
Material changes will be communicated through the Platform or by other reasonable means before taking effect where required by applicable law.
Continued use of the Platform after the effective date of revised Terms constitutes acceptance of those revisions.
24. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.
25. Entire Agreement
These Terms, together with the Privacy Policy, Consent Form, and any additional policies expressly incorporated by reference, constitute the entire agreement between CTI Global and the User concerning the use of the Platform and supersede all prior understandings relating to the same subject matter.

27. Healthcare Provider Terms
Healthcare Providers using the Platform represent and warrant that they:
- hold all licenses, registrations, certifications, permits, and professional qualifications required to provide healthcare services within every jurisdiction in which they practice;
- shall maintain such licenses and qualifications throughout their use of the Platform;
- shall comply with all applicable healthcare, licensing, prescribing, telemedicine, privacy, and professional conduct laws;
- shall maintain professional indemnity or malpractice insurance where required by applicable law or professional regulation;
- are solely responsible for all diagnoses, prescriptions, referrals, treatment decisions, clinical documentation, and medical advice provided to patients;
- shall maintain accurate, complete, and contemporaneous clinical records;
- shall promptly notify CTI Global of any suspension, restriction, investigation, disciplinary action, or revocation affecting their professional authorization to practice.
CTI Global reserves the right to suspend or terminate any Healthcare Provider account where there is reasonable evidence that the provider no longer satisfies applicable legal, licensing, ethical, or professional requirements.
28. Business Associate and Data Processing Relationships
Where applicable healthcare privacy laws require contractual arrangements governing the processing of Protected Health Information or Personal Information, CTI Global may enter into Business Associate Agreements (“BAAs”), Data Processing Agreements (“DPAs”), or similar agreements with healthcare organizations, healthcare providers, employers, insurers, or other institutional customers.
Such agreements supplement these Terms and shall govern the parties’ respective responsibilities regarding the processing, protection, retention, and disclosure of regulated information.
Where any conflict exists between these Terms and an executed BAA or DPA, the executed agreement shall prevail to the extent of that conflict.
29. Cookies and Similar Technologies
The Platform uses cookies, software development kits (SDKs), local storage, web beacons, and similar technologies to:
- authenticate users;
- maintain secure sessions;
- remember user preferences;
- improve Platform performance;
- measure service availability;
- detect fraud and cybersecurity threats;
- generate anonymized usage analytics;
- comply with legal and regulatory obligations.
Where required by applicable law, users will be presented with an opportunity to accept, reject, or customize non-essential cookies before they are deployed.
Users may modify cookie preferences through browser settings or the Platform’s cookie management tools; however, certain functionality may become unavailable if essential cookies are disabled.
30. Acceptable Use Policy
Users agree not to use the Platform to:
- violate applicable law;
- upload malicious software or code;
- interfere with Platform security;
- gain unauthorized access to another person’s information;
- submit fraudulent information;
- impersonate another individual;
- harass, threaten, abuse, or intimidate other users;
- infringe intellectual property rights;
- transmit unlawful, defamatory, obscene, or discriminatory material;
- attempt to reverse engineer, copy, or exploit the Platform except as permitted by law;
- interfere with healthcare services provided to other users.
CTI Global may investigate suspected misuse and may suspend or terminate accounts where misuse is reasonably suspected.
31. Community Standards
Where the Platform includes messaging, collaboration tools, educational forums, support communities, or other interactive features, users agree to communicate respectfully and professionally.
Users shall not post or transmit material that:
- is unlawful;
- contains hate speech;
- promotes violence;
- infringes another person’s rights;
- contains misinformation likely to endanger public health;
- violates patient confidentiality;
- constitutes harassment or abuse.
CTI Global reserves the right to remove content that violates these standards.
32. Platform Availability and Service Levels
CTI Global uses commercially reasonable efforts to maintain the availability, reliability, and security of the Platform.
Routine maintenance may occur periodically and may temporarily affect service availability.
Although CTI Global endeavors to maintain high service availability, uninterrupted access cannot be guaranteed.
Institutional customers may separately enter into written Service Level Agreements (“SLAs”) governing uptime commitments, maintenance windows, support response times, disaster recovery objectives, and service credits. Unless otherwise agreed in writing, no specific uptime guarantee applies under these Terms.
33. Subscriptions, Billing, and Renewals
Where services are offered on a subscription basis:
- subscription fees shall be disclosed before purchase;
- subscriptions automatically renew unless cancelled before the applicable renewal date, where permitted by applicable law;
- users may cancel future renewals through their account settings or other designated process;
- taxes, governmental charges, and transaction fees may apply;
- CTI Global may revise subscription pricing upon reasonable prior notice.
Failure to pay applicable fees may result in suspension or termination of access to paid services.
34. Refund and Cancellation Policy
Unless otherwise required by applicable law or agreed in writing:
- appointment cancellations are subject to the cancellation policy communicated at the time of booking;
- missed appointments may be treated as completed appointments;
- consultation fees are generally non-refundable after a consultation has commenced;
- subscription fees are non-refundable for partially used billing periods except where mandatory consumer protection laws provide otherwise.
Nothing in this section limits any statutory rights available under applicable consumer protection legislation.
35. Emergency Services Disclaimer
THE PLATFORM IS NOT AN EMERGENCY MEDICAL SERVICE.
Users experiencing a medical emergency, including symptoms suggesting a heart attack, stroke, severe trauma, difficulty breathing, suicidal thoughts, uncontrolled bleeding, seizures, or any other life-threatening condition, must immediately contact their local emergency medical services or proceed to the nearest emergency healthcare facility.
The Platform should not be relied upon where immediate emergency intervention is required.
Healthcare Providers using the Platform may determine that telemedicine is clinically inappropriate and may direct a patient to obtain immediate in-person medical evaluation.
CTI Global accepts no responsibility for delays arising from a user’s decision to seek emergency care through the Platform rather than through appropriate emergency services.
36. Artificial Intelligence and Clinical Decision Support (Recommended)
Where the Platform incorporates artificial intelligence, machine learning, clinical decision support tools, symptom assessment tools, or automated workflows, such technologies are intended solely to assist users and Healthcare Providers.
Unless expressly stated otherwise, AI-generated content:
- is informational only;
- does not constitute medical advice;
- does not replace clinical judgment;
- should not be relied upon as the sole basis for diagnosis or treatment.
Healthcare Providers remain solely responsible for reviewing, validating, and exercising independent professional judgment regarding all clinical recommendations.
37. Electronic Records and Electronic Signatures
Users agree that electronic records, electronic communications, electronic acknowledgements, and electronic signatures created through the Platform shall have the same legal effect as paper records and handwritten signatures to the fullest extent permitted by applicable law.
CTI Global may retain electronic logs, audit records, timestamps, authentication records, and transaction histories as evidence of user actions performed through the Platform.
38. Audit, Security, and Access Monitoring
To protect patient safety, privacy, and Platform security, CTI Global maintains comprehensive audit logs of system activity.
Audit records may include:
- user authentication events;
- account changes;
- access to patient records;
- permissions granted or revoked;
- administrative actions;
- security events;
- system configuration changes;
- data exports and downloads.
Audit information may be used for security investigations, regulatory compliance, dispute resolution, fraud prevention, quality assurance, and legal proceedings where permitted by law.
39. Export Controls and International Compliance
Users agree not to access or use the Platform in violation of applicable export control laws, economic sanctions, or trade restrictions imposed by the United States or any other applicable jurisdiction.
Users represent that they are not located in, ordinarily resident in, or acting on behalf of any individual or entity subject to comprehensive trade sanctions that would prohibit provision of the Platform under applicable law.
40. Entire Legal Framework
The following documents collectively govern use of the LifeHealth Platform and are incorporated into these Terms by reference:

- Any additional policies expressly published by CTI Global from time to time.
In the event of a conflict between these Terms and a separately executed written agreement signed by CTI Global and the relevant customer or healthcare organization, the executed written agreement shall prevail to the extent of the inconsistency.
